Kestrel Group has disclosed that its subsidiary, Genesis Legacy Solutions (GLS), has initiated arbitration against a ceding company under a reinsurance agreement, citing alleged breaches and misrepresentations.<\/p>\n

\"kestrel-group-logo\"The arbitration arises from a reinsurance contract that provides two types of coverage, Reinsurance Premium Protection (RPP) with aggregate limits of approximately $25\u202fmillion and Adverse Development Coverage (ADC) with remaining aggregate limits of around $25.5\u202fmillion.<\/p>\n

GLS has alleged that the ceding company committed multiple breaches of the agreement and other material misrepresentations.<\/p>\n

With this in mind, the subsidiary is seeking full rescission of the contract, along with recovery of previously paid amounts.<\/p>\n

As part of the proceedings, GLS has paused payments on certain invoices while arbitration is ongoing.<\/p>\n

To date, GLS has reportedly paid $10.8\u202fmillion under the RPP coverage. As of 30 September 2025, liabilities related to the contract are said to stand at $4 million for RPP and $7.5\u202fmillion for ADC. The company has collected premiums of $9.7\u202fmillion (RPP) and $9.8\u202fmillion (ADC).<\/p>\n

Kestrel Group said in the SEC filing, “GLS is vigorously pursuing its claims for rescission and recovery of amounts previously paid. The matter is currently proceeding in arbitration, and an arbitration hearing has now been completed with a decision likely in the first quarter of 2026.<\/p>\n

The cedant disputes GLS’s assertions, denying that it breached the agreement, and seeks to continue the contract in full force. The outcome of the arbitration is inherently uncertain.<\/p>\n

“If GLS is successful, it may be entitled to recover up to $10.0 million in losses previously paid and may be relieved of its remaining obligations under the reinsurance agreement in addition to other requested relief.<\/p>\n

“If GLS is unsuccessful, GLS may be required to continue performing under the contract, including potentially paying additional amounts under the RPP coverage, subject to a cap, and being liable for additional amounts under the ADC coverage.”<\/p>\n
